Timothy G. Hoxie joined the firm in 1986 and practices corporate law. He is Co-Chair of the Mergers & Acquisitions Practice Group and former Co-Chair of the Corporate Securities Practice Group.
Mr. Hoxie has focused his practice on private equity, corporate finance and mergers and acquisitions. His clients have included firms involved in a variety of industries. He has formed and has extensive experience representing a variety of business entities, including partnerships and limited liability companies.
Mr. Hoxie’s mergers and acquisitions experience has included stock and asset acquisitions, tender offers (both issuer and third-party), acquisitive mergers, spinoffs, reorganizations, exchange offers and “going private” transactions. He has had substantial experience representing investment funds and other private investors acquiring substantial or controlling interests-in businesses. Mr. Hoxie has extensive international corporate finance and acquisition experience. He has represented overseas clients seeking to raise capital in the United States, as well as clients seeking to acquire businesses in the United States or sell businesses to domestic parties. Mr. Hoxie has represented private equity investors (including governmental investors) in connection with global investments in private and public transactions. Mr. Hoxie's finance experience has included both debt and equity transactions, representing borrowers, lenders and issuers. His lending work has included both secured and unsecured financing in a variety of contexts, including leveraged buyouts and other acquisitions.
