Karen A. Dempsey joined the firm in 2005 and practices corporate and securities law. Ms. Dempsey currently serves as Chair of the firmwide Corporate Governance practice group.

Experience

Ms. Dempsey's practice focuses on the corporate representation of private and public emerging growth companies, venture capital firms and investment banks. She is involved in a full range of corporate legal projects for emerging growth companies including venture financings, public offerings, public company securities law compliance matters and mergers and acquisitions. She also regularly advises public companies on Sarbanes-Oxley and other corporate governance matters. Ms. Dempsey's clients include private and public companies in the biotechnology and Internet-related industries. She also represents underwriters in initial public offerings and follow-on offerings and venture capital firms in investment transactions.

Ms. Dempsey is a frequent speaker on corporate and securities law topics including Initial Public Offerings, Corporate Governance and Sarbanes-Oxley matters. Ms. Dempsey is also Co-Editor of Part III of Venture Capital & Public Offering Negotiation, published by Aspen Law & Business.
